1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you (whether as a "Referrer" or a "Prospect") and Granza, Inc. (a California corporation) and its IP-holding affiliate, BigLizard LLC (the patent holder), (collectively, "the Companies," "we," "us," or "our").

By interacting with the Granza Inquiry and Referral Agreement web form, participating in our Referral Program, or submitting an inquiry as a referred Prospect, you expressly agree to be bound by these Terms. If you do not agree to all of these Terms, you are strictly prohibited from using our web forms or participating in the program.

2. Incorporation by Reference

Your use of our website and Referral Program is also strictly governed by our [Privacy Policy] and our [No-Spam Policy], which are fully incorporated into these Terms of Use by reference as well as at the bottom of Granza.com.

3. Eligibility and Age Restrictions

Our Referral Program and technologies are strictly designed for adults and business professionals. Individuals under the age of 18 are strictly prohibited from communicating, registering, or working with us in any capacity. By using our services, you represent and warrant that you are at least 18 years of age and hold the legal authority to form a binding contract as an individual or on behalf of your business entity. The Companies and our target Prospects are strictly US-based; therefore, participation is intended for US-based individuals and entities.

4. The Referral Program and Payouts

Our tracking and referral attribution rely on unique URL links.

• Tracking Limitations: We use minimal technical markers (like basic session tokens) exclusively to capture unique URL identifiers and accurately credit the Referrer. If you or a Prospect configure your browser to strictly block all cookies and local storage, it may break the referral tracking link functionality. If tracking is broken due to browser settings, it may prevent a Referrer from being credited for a Qualifying Transaction.
• Qualifying Transactions: Referral Fees are only paid if a referral results in a Qualifying Transaction, subject to the terms of the Granza Inquiry and Referral Agreement.
• Compliance for Payouts: To process Referral Fees and ensure legality, Referrers must provide an IRS Form W-9 and valid banking details for wire transfers. Prospects must provide standard business or corporate documentation to verify legal standing.
• Tail Period: If an Agreement terminates or discussions conclude, delayed Referral Fees may still be valid during the 24-month "Tail Period" outlined in your specific Agreement.

5. Communications and Account Forfeiture

We require the ability to send essential administrative and transactional communications to manage active Referral Agreements, evaluate Prospect inquiries, and process financial and tax data.

• Strict Forfeiture Warning: You have the right to opt out of general program updates. However, please note that opting out of all administrative and transactional communications may impede our ability to maintain your active Referral Agreement, track your referrals, or process your W-9 and banking details. If you opt out of or block these mandatory communications, your whole account and any pending or future referrals may likely be forfeited, and it is not our problem. The Companies assume absolutely no liability for lost fees resulting from your communication preferences.

6. Acceptable Use and Security

You agree to use our forms and systems only for lawful business purposes.

• No Bots or Spam: You must not use automated scripts, bots, or scrapers. We utilize technical security measures, including Cloudflare CAPTCHA, to block spam and bots. Bypassing or attempting to bypass these security features is strictly prohibited.
• Truthful Information: All information you submit, whether to verify legal identity, authorized representation, or legal standing, must be accurate and truthful.

7. Intellectual Property

All intellectual property associated with the platform, forms, and tracking technology is owned by BigLizard LLC (the patent holder) and operated by Granza, Inc. You are granted a limited, non-exclusive, revocable license to use the referral links provided to you strictly for the purpose of the Referral Program. You may not copy, reverse-engineer, or claim ownership over any part of our technology or brand.

8. Third-Party Links

Our pages may contain links to third-party video hosting platforms or websites (e.g., for platform overview videos or external resources). We do not control these sites, are not responsible for their contents or privacy practices, and make no representations regarding their accuracy.

9. Disclaimer of Warranties and Limitation of Liability

While we implement commercially reasonable technical security measures, no internet system is 100% secure, and we cannot guarantee absolute security. The program and web forms are provided "as is" without warranties of any kind. To the maximum extent permitted by law, the Companies shall not be liable for any indirect, incidental, or consequential damages resulting from your use of, or inability to use, the platform or tracking links.

10. Governing Law

These Terms of Use, your participation in the Referral Program, and any disputes arising out of or related to the Companies shall be strictly governed by and construed in accordance with the laws of the State of South Dakota and applicable United States federal laws, without regard to its conflict of law principles.

11. Changes to Terms

We reserve the right to amend these Terms of Use at any time. Changes will be posted on our website or sent via mail. Continued participation in the program after such posting constitutes your acceptance of the amended Terms.
